NURO FINANCE - TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Nuro Finance platform (“Nuro,” “we,” “our,” or “us”), including our website, applications, APIs, and related services (collectively, the “Services”).
By accessing or using Nuro, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Overview of Services
Nuro Finance provides a technology platform that enables users to provision wallets, payment cards, and financial workflows for software systems, including AI agents.
Nuro is not a bank, broker, or money transmitter.
All financial services (including custody of funds, card issuance, payment processing, and identity verification) are provided by third-party regulated financial institutions and infrastructure providers (“Financial Partners”).
2. Eligibility
You must:
Be at least 18 years old
Have the legal capacity to enter into these Terms
Use the Services in compliance with all applicable laws
If you use Nuro on behalf of a company or organization, you represent that you are authorized to bind that entity.
3. Account Registration
To use Nuro, you may be required to create an account.
You agree to:
Provide accurate and complete information
Keep your credentials secure
Notify us immediately of unauthorized access
You are responsible for all activity under your account.
4. AI Agents and Automated Systems
Nuro enables the use of AI agents and automated systems that can initiate transactions.
By using such functionality, you acknowledge and agree:
You are fully responsible for all actions taken by your agents
Agents operate under permissions and controls you configure
Nuro does not supervise, validate, or control agent decision-making
Any financial outcome resulting from agent activity is your responsibility
You must implement appropriate safeguards, limits, and monitoring.
5. Financial Services Disclaimer
Nuro does not:
Hold customer funds
Issue payment cards
Perform KYC / AML compliance directly
Execute money transmission
These services are performed by Financial Partners.
Your use of those services may be subject to additional terms and conditions imposed by those partners.
Nuro acts solely as a technology interface layer.
6. Fees
Nuro may charge:
Transaction-based fees (e.g., card reloads or usage)
Subscription fees (e.g., Nuro+ or Nuro Pro)
Enterprise or API usage fees
All fees are disclosed within the platform or agreed upon separately.
You are responsible for all applicable fees.
7. Acceptable Use
You agree not to use Nuro for:
Fraudulent or illegal activity
Money laundering or sanctions violations
Unauthorized financial automation
Abuse of infrastructure or APIs
Circumventing security or compliance systems
We reserve the right to investigate and take action on violations.
8. Suspension and Termination
We may suspend or terminate your access at any time if:
You violate these Terms
We detect suspicious or high-risk activity
Required by Financial Partners or regulators
You may stop using the Services at any time.
9. Third-Party Services
Nuro relies on third-party providers for:
Banking and custody
Card issuance
Identity verification
Blockchain infrastructure
We do not control these providers and are not responsible for:
Their actions or failures
Service interruptions
Changes to their terms
10. Data and Privacy
Your use of Nuro is also governed by our Privacy Policy.
We collect and process data as necessary to:
Operate the platform
Enable financial integrations
Maintain security and integrity
11. Intellectual Property
All software, infrastructure, and content provided by Nuro are owned by or licensed to Nuro.
You may not:
Copy or reverse engineer the platform
Resell access without authorization
Use the platform to build a competing service
12. Disclaimer of Warranties

We make no warranties regarding:
Availability or uptime

Performance of AI agents
Financial outcomes
13. Limitation of Liability

Actions taken by AI agents
Failures of Financial Partners
Indirect, incidental, or consequential damages
14. Indemnification
You agree to indemnify and hold harmless Nuro from any claims arising from:
Your use of the Services
Your agents’ behavior
Violations of law or these Terms
15. Governing Law
These Terms are governed by the laws of the State of Delaware, United States.
16. Changes to Terms
We may update these Terms at any time.
Continued use of the Services constitutes acceptance of the updated Terms.
